Corporate Finance and Securities

Our Corporate Finance and Securities practice provides advice to a diverse range of United States and foreign businesses. Our clients include companies listed on the national securities exchanges, such as Amex and Nasdaq, and on the OTC Bulletin Board.

We advise companies and broker-dealers in connection with public and private offerings of debt and equity securities, initial public offerings, secondary offerings, PIPE transactions, private placements, and venture capital financings.

We advise on complex corporate transactions such as mergers and acquisitions, asset and stock sales, restructurings, joint ventures and similar transactions.

We advise companies on their public reporting obligations, corporate governance matters, and compliance with the Sarbanes-Oxley Act of 2002.

Employment Matters

The Firm provides a full range of employment law services to employers and employees. The firm can provide employment agreements, non-compete agreements, confidentiality agreements, employee handbooks, Internet Acceptable Use Policies, and related documents.

The firm provides plaintiff and defendant litigation services related to the above matters and employee raiding, discrimination, harassment, wrongful discharge cases and other related matters.

Trade Secrets

We provide advice on the protection and exploitation of trade secrets. We have extensive experience litigating disputes over the misappropriation or exploitation of trade secrets.

Litigation

Our Litigation practice includes representing clients in business and personal litigation matters, including contract disputes, trade secret matters, business disputes and employment law matters.

We have a broad range of litigation and trial experience including representing corporations, partnerships, limited liability companies, and their stockholders, partners, and members. We are licensed to practice before all state and Federal Courts in the District of Columbia, Virginia and Maryland.

International Trade and Customs

Our Customs law practice provides advice and representation in dealing with the Bureau of Customs and Border Protection and other agencies that regulate the importation and exportation of merchandise such as the Treasury Department, the Office of the U.S Trade Representative, and the Commerce and State Departments. We have experience in all aspects of customs law, including the entry and tariff classification of imported goods, customs valuation issues, country of origin and other marking requirements, border enforcement of intellectual property rights, NAFTA and other trade preference rules, customs penalties and forfeitures, formal protests of customs decisions, customs administrative rulings, customs drawback claims and bonded warehouses.

We also assist clients in several other related areas including foreign assets control, foreign trade zone matters, antidumping orders and export regulation.

Our International Trade law practice provides advice and representation on all matters related to the international sale and purchase of goods and services, including but not limited to contractual regulation, statutory and treaty issues and disputes.

Estate Planning and Probate Administration

Our Estate Planning and Probate Administration practice provides individuals, including business owners, with advice on estate and estate tax planning, including the preparation of complex estate plans. We prepare wills, revocable trusts, irrevocable trusts, ILITS, other trust documents, and virtually all other documents necessary to complete an estate plan. We handle all aspects of probate and administration matters.

Tax

Our Tax practice provides advice on all areas of tax law and regularly provides advice on federal, state and local tax matters. We have extensive experience providing advice on the structuring of complex business transactions, such as mergers, acquisitions, asset sales, joint ventures, buy sell agreements, like kind exchanges and similar transactions. We also provide advice on employee benefit arrangements, such as stock purchase plans, stock option and phantom stock plans, split dollar insurance, deferred compensation arrangements, and executive compensation. We have extensive experience in state income tax matters.
